2. Merchant of Record
All payments are processed by Paddle, which acts as Merchant of Record. Paddle is responsible for payment processing, billing, VAT, sales tax, and regulatory compliance related to transactions.
3. License Grant
The software is licensed, not sold.
Mecanum Inc. grants the customer a non-exclusive, non-transferable, non-sublicensable license to use the software for internal business purposes only, subject to these Terms.
4. Restrictions
The customer may not:
— Reverse engineer, decompile, or disassemble the software
— Resell, rent, lease, or sublicense the software
— Distribute license keys
— Use the software in violation of applicable laws
— Use the software in life-critical, safety-critical, or nuclear applications
5. Professional Use Disclaimer
The software is intended for professional use by qualified personnel.
Mecanum Inc. is not responsible for decisions, engineering designs, or validation processes based on simulation results. The customer is solely responsible for verifying results before implementation.
6. Payment & Subscription Terms
Payment must be completed before access to the software is granted.
If purchased as a subscription:
— Subscriptions automatically renew unless cancelled before the renewal date.
— The customer may cancel at any time via Paddle’s customer portal.
— Price changes apply at the next renewal cycle.
7. Delivery
Software is delivered electronically via download link, email, or customer portal access following successful payment.
8. Updates & Support
Unless otherwise agreed in writing:
— Minor updates may be included.
— Major upgrades may require additional payment.
— Support is provided via email during normal business hours (Canada, Eastern Time).
9. No Warranty
The software is provided “as is” without warranty of any kind.
Mecanum Inc. disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
10. Limitation of Liability
Under no circumstances shall Mecanum Inc.’s total liability exceed the amount paid by the customer in the twelve (12) months preceding the claim.
Mecanum Inc. shall not be liable for indirect, incidental, or consequential damages.
11. Indemnification
The customer agrees to indemnify and hold harmless Mecanum Inc. from claims arising from misuse of the software.
12. Termination
Mecanum Inc. may terminate this license immediately in case of breach of these Terms.
Upon termination, the customer must cease using the software.
13. Export Compliance
The customer agrees to comply with all applicable export laws of Canada and other jurisdictions.
14. Governing Law
These Terms shall be governed by the laws of the Province of Quebec, Canada.
15. Changes to Terms
Mecanum Inc. reserves the right to update these Terms at any time.
